SONGSYNTAX TERMS OF USE

These Terms of Use ("Terms") govern access to and use of any tool, service,
or offering published under the SongSyntax brand by Mosswood HR Solutions
LLC, a Texas limited liability company ("Mosswood," "we," "us," or "our").
SongSyntax is a brand operated by Mosswood. Tools published under the
SongSyntax brand are collectively referred to in these Terms as the "Tools"
and individually as a "Tool." By purchasing access to or using any Tool,
you ("you" or "User") agree to these Terms. If you do not agree, do not
access or use any Tool.

1. SCOPE

These Terms apply to all Tools published under the SongSyntax brand by
Mosswood, whether currently available or introduced in the future.
Specific commercial terms — including pricing, access model, refund
policy, and operational details — are set forth at the point of purchase
or in tool-specific information made available to Users at acquisition.
In the event of a conflict between these Terms and tool-specific
commercial terms, these Terms control on matters of intellectual
property, prohibited use, conduct, liability, indemnification, and
jurisdiction; tool-specific terms control on matters of pricing,
purchase model, and operational specifics.
The Tools assist Users in producing creative outputs but are not
themselves the means of final output generation. Final outputs are
typically produced on third-party platforms over which Mosswood has no
control. Mosswood is not responsible for the operation, availability,
or terms of third-party platforms.

2. ACCESS

2.1 Per-tool access. Access to each Tool is granted separately. Acquiring
access to one Tool does not grant access to any other Tool. Each Tool's
access terms are specified at acquisition.
2.2 Personal access. Access to any Tool is personal to the individual
User who acquired it. Access is non-transferable. You may not share,
distribute, sublicense, or provide your access strings, codes, or
credentials to any other person or entity.
2.3 No shared institutional access. Companies, agencies, schools,
studios, and any other organizations may not acquire access to a Tool
on behalf of multiple employees, students, contractors, members, or
other personnel. Each User must hold their own access. Organizations
seeking to provide Tool access to multiple personnel must contact
Mosswood to discuss commercial licensing terms (see Section 4.2).
2.4 Continued availability is not guaranteed. Tools depend on third-party
platforms and on the broader legal and operational environment for AI
and creative tools. We will use reasonable efforts to maintain
availability of Tools but cannot guarantee continued operation. A Tool
may become unavailable due to platform changes, legal or regulatory
shifts, technical disruptions, or other circumstances. We are not
liable for periods of unavailability or for permanent discontinuation
of a Tool. Refund eligibility in the event of discontinuation, if any,
is governed by the tool-specific commercial terms in effect at the
time of acquisition.
2.5 Save your work. We recommend that Users save copies of their inputs,
outputs, and work product locally where possible. Doing so protects your
work against loss of access to a Tool, to a third-party platform used
with a Tool, or to other parts of your workflow. Mosswood is not
responsible for User work that is lost due to platform changes or
service interruptions.

3. INTELLECTUAL PROPERTY

3.1 Mosswood property. The underlying content, code, instructions,
configurations, databases, logic, access control mechanisms, research
notes, conventions, editorial choices, and all other proprietary
material associated with the SongSyntax brand and its Tools (collectively,
"Proprietary Content") is the property of Mosswood HR Solutions LLC.
All rights are reserved. These Terms do not grant you any ownership
interest in the Proprietary Content.
3.2 User outputs. Subject to the rules in Section 4 and to applicable
law, creative outputs you produce using a Tool are your property. You
may use your outputs commercially, distribute them, license them, or
otherwise exercise rights of ownership over them, subject to:
(a) Any applicable rights of third-party platforms used in producing
the outputs;
(b) Applicable copyright, trademark, and other intellectual property
law;
(c) The prohibited use provisions in Section 4 of these Terms.
3.3 Soft attribution. We appreciate, but do not require, attribution.
If you would like to credit the relevant Tool or the SongSyntax brand
in your work, project notes, or related material, you are welcome to
do so. Attribution is voluntary and any failure to attribute does not
affect your ownership of your outputs or constitute a breach of these
Terms.
3.4 No reverse engineering or extraction. You may not reverse engineer,
decompile, disassemble, extract, copy, redistribute, or attempt to
derive the underlying source code, instructions, prompts, configurations,
database contents, or logic of any Tool. This restriction applies
regardless of method, including but not limited to prompt-injection
extraction techniques, systematic querying intended to reconstruct
content, or any automated extraction tooling.
3.5 No use as training data. You may not use Tool outputs, prompts,
content, or any Proprietary Content as training data for AI models
that compete with the Tool or with similar offerings, nor permit any
third party to do so on your behalf.

4. PERMITTED AND PROHIBITED USES

4.1 Permitted personal use. You may use the Tools for your own creative
work, including freelance creative work for your own clients, paid
creative projects, and commercial work that you personally produce.
Individual User use is fully permitted under these Terms.
4.2 Commercial and institutional use requires a separate agreement.
Companies, agencies, schools, studios, content-generation businesses,
and other organizations may not use the Tools for organizational
purposes without entering into a separate commercial agreement with
Mosswood. This includes, without limitation:
(a) Use of a Tool by employees, contractors, students, members, or
other personnel within the scope of their work for an organization;
(b) Integration of a Tool (in whole or in part) into another product,
service, or platform;
(c) Operation of a service business in which a Tool is used to produce
outputs for paying clients of the service business; and
(d) Resale, sublicensing, or redistribution of Tool access.

songsyntax.com to discuss commercial licensing terms.
4.3 Prohibited content. You may not use the Tools to produce or
construct prompts intended to produce:
(a) Hate speech, harassment of individuals, threats, or content
targeting individuals or groups on the basis of race, ethnicity,
religion, gender, sexual orientation, disability, or other
protected characteristics;
(b) Defamation of named real persons;
(c) Content intended to be passed off as the work of a real named
person or entity, or to deceive recipients about the identity of
the originator (impersonation);
(d) Sexual content involving minors;
(e) Non-consensual sexual content; or
(f) Content that violates applicable law.
4.4 Prohibited conduct. You may not:
(a) Conduct bulk automated querying or scraping of any Tool;
(b) Attempt to bypass, disable, or circumvent access controls,
authentication mechanisms, or other security features of any Tool;
(c) Share your access strings, codes, or credentials with any other
person or entity;
(d) Use any Tool in any manner that violates Mosswood's intellectual
property rights, these Terms, or applicable law.

5. ACCESS CONTROLS

5.1 Access credentials. Tools may use access strings, codes, or other
credentials to authenticate authorized Users. You will receive any
required credentials at acquisition or as otherwise directed by
Mosswood. You are responsible for keeping your credentials confidential.
5.2 Rotation. Mosswood may rotate access credentials for any Tool
periodically. When rotation occurs, authorized Users will receive
updated credentials via the contact channel associated with their
acquisition. Following rotation, previously-issued credentials cease
to function.
5.3 Revocation. Mosswood reserves the right to revoke access for any
User who violates these Terms, including by sharing credentials,
attempting to extract Proprietary Content, using a Tool for prohibited
purposes, or otherwise breaching these Terms. Revocation does not
entitle the User to a refund except as required by applicable law.

6. DISCLAIMERS AND LIMITATION OF LIABILITY

6.1 Provided "as is." The Tools are provided on an "as is" and "as
available" basis. Mosswood makes no warranties, express or implied,
including but not limited to warranties of merchantability, fitness
for a particular purpose, non-infringement, or that the Tools will be
uninterrupted, error-free, or free of harmful components.
6.2 Third-party platforms. Outputs are typically produced on third-party
platforms over which Mosswood has no control. Mosswood is not
responsible for the quality, content, availability, or licensing terms
of outputs produced by third-party platforms in connection with the
use of any Tool.
6.3 Limitation of liability. To the maximum extent permitted by
applicable law, Mosswood's total liability to you for any claim arising
out of or related to these Terms or your use of any Tool shall not
exceed the amount you paid for access to that Tool. In no event shall
Mosswood be liable for indirect, incidental, special, consequential, or
punitive damages, including but not limited to lost profits, lost data,
or loss of goodwill, regardless of the theory of liability and even if
Mosswood has been advised of the possibility of such damages.
6.4 Your responsibility for outputs. You are solely responsible for the
content of outputs you create using the Tools, for any use you make of
those outputs, and for compliance with all applicable laws and
third-party rights (including copyright, trademark, and rights of
publicity) in connection with your use of those outputs.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Mosswood HR Solutions
LLC, its members, officers, employees, and agents from and against any
claims, damages, losses, liabilities, costs, and expenses (including
reasonable attorneys' fees) arising out of or related to: (a) your use
of any Tool; (b) your violation of these Terms; (c) your violation of
any third-party rights, including intellectual property rights; or
(d) any content you create or distribute using the Tools.

8. TERMINATION

These Terms remain in effect until terminated. Mosswood may terminate
your access to any Tool at any time for breach of these Terms. You may
stop using the Tools at any time. Sections 3 (Intellectual Property),
6 (Disclaimers and Limitation of Liability), 7 (Indemnification), 9
(Governing Law and Jurisdiction), and 10 (General) survive termination.

9. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Texas, without
regard to conflict-of-laws principles. You agree that any dispute arising
out of or related to these Terms or your use of any Tool shall be
brought exclusively in the state or federal courts located in Texas, and
you consent to the personal jurisdiction of those courts.

10. GENERAL

10.1 Entire agreement. These Terms, together with any tool-specific
commercial terms made available at the point of acquisition, constitute
the entire agreement between you and Mosswood regarding the Tools and
supersede any prior agreements or understandings on the subject matter.
10.2 Modification. Mosswood may update these Terms from time to time.
The effective date at the top of this document indicates when Terms were
last updated. Continued use of any Tool after an update constitutes
acceptance of the updated Terms.
10.3 Severability. If any provision of these Terms is held to be
unenforceable, the remaining provisions remain in full force and effect.
10.4 No waiver. Mosswood's failure to enforce any provision of these
Terms does not constitute a waiver of that provision or any other.
